Terms of Service
Last updated: September 2026
These terms explain how SetupFocus works with clients and what applies when you use the website or engage our services.
Project scope, timelines and prices are agreed in writing before work begins, so both sides know what is included.
The sections below cover payments, responsibilities, ownership, revisions, cancellations and governing law.
If anything is unclear, you can contact us before starting a project.
1. About these terms
These Terms of Service govern your use of the SetupFocus website and any services we provide. By using our website or engaging our services, you agree to these terms. If you do not agree, please do not use our website or services. SetupFocus is a trading name of Olena Tryfoutsan, a sole trader based in Oxford, United Kingdom. Contact: support@setupfocus.com.
2. Our services
SetupFocus provides website design and development, online shop setup, social media management, digital marketing, and branding services for small businesses. The specific scope, timeline and price of each project are agreed in writing before work begins, in a separate project agreement.
3. Quotes and payment
- All quotes are provided in writing and are valid for 30 days
- Prices shown do not include VAT, as SetupFocus is not currently VAT registered
- Work begins only after written confirmation and, where applicable, a deposit
- Payment terms, including the deposit amount and due date, are set out in your individual project agreement
- Late payments may result in work being paused until the balance is settled
4. Client responsibilities
To allow us to deliver your project on time, you agree to:
- Provide required content, images and information in a timely manner
- Review and provide feedback within agreed timeframes
- Ensure all content you provide does not infringe third party rights
- Provide accurate business and contact details
5. Intellectual property
Upon receipt of full payment, you own the final deliverables created specifically for your project. We retain the right to showcase completed work in our portfolio unless you request otherwise in writing.
Any third party tools or services used in your project are subject to their own licences. We will inform you of any relevant licences that apply.
6. Revisions and scope changes
Each project includes a defined number of revision rounds as agreed in your quote. Work that falls outside the agreed scope will be quoted separately before proceeding.
7. Limitation of liability
SetupFocus will not be liable for indirect or consequential losses, including loss of business, revenue or profit, arising from the use of our services or website. Our total liability is limited to the amount paid by you for the specific service in question.
8. Cancellations
If you cancel a project after work has begun, you remain liable for the cost of work completed up to the point of cancellation. Any deposit paid is non refundable unless otherwise agreed in writing.
9. Data processing for client projects
Where a project involves us building or managing systems that hold personal data on your behalf, such as a customer database, booking system, or client portal, the terms for how that data is handled are set out in your project agreement. Our Privacy Policy explains how we handle data collected through this website only.
10. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to these terms
We may update these terms from time to time. The current version will always be available on this page. Continued use of our services after changes constitutes acceptance of the updated terms.
